X.A) Discussion and Potential Action Item: Staff recommends that the Board of Directors: 1. Authorize the CEO to negotiate a Letter of Intent (LOI) (in the form attached to the Memo from Tom Bakaly) and accompanying term sheet with MarVentures/Continental, ESL/NexCore and Sunrise for a ground lease with respect to development of the District's Healthy Living Campus located at 514 Prospect Avenue, Redondo Beach, in the priority recommended by the Advisory Working Group. 2. Authorize the CEO to execute a Letter of Intent and accompanying term sheet with one of the developers listed in 1 above (MarVentures/Continental, ESL/NexCore or Sunrise) who, in the judgment of the CEO after considering the input from the Advisory Working Group and the Board, offers the most favorable terms to the District and the communities it serves consistent with the criteria for selection. 3. Direct staff to return with an update on the LOI and term sheet at the Board's January meeting.

    In general, I support BCHD moving forward with the HLC by means of the selection of a developer to construct a variety of assisted living, independent living and memory care residences and related service facilities to replace the 514 Building. However, I believe the selection choice should be made by the Board directly and not delegated to the CEO, who is unelected. I urge the Board to select a developer who will construct a substantial portion of the parking stalls as subterranean parking and restore current above ground parking to green space that will be more attractive than the current asphalt expanses and can be enjoyed by future campus residents, the surrounding neighborhoods, and the broader community. I urge the Board to consider what uses can be reasonably made of the buildings to be constructed either after expiration of the ground lease or termination of the lease by other means. While individual “casitas” sound nice to me as a consumer, flexible use for other future purposes seems unlikely. According to the CEO’s report, BCHD has already spent $13 million on developing the HLC. Significant financial and progress benchmarks should be put in place to ensure that the community’s investment enjoys a reasonable return. The agenda packet does not indicate what party or parties will bear the financial burden of demolition of the 514 building — I believe most public members would expect that party would be the developer.

    I support moving forward with these letters of intent for a ground lease for the development of BCHD's Healthy Living Campus. With feedback from the Advisory Working Group and the Board, this can be scaled down to the best fit for BCHD and our communities. January's Board meeting seems to be appropriate timing for an update on this the LOI and term sheet.
